THESE TERMS CREATE A BINDING CONTRACT. Please read them carefully. They are the agreement between you and Ejection Seat LLC, including its affiliates, officers, directors, employees, agents, contractors, licensors, service providers, and business partners ("Ejection Seat," "we," "us," or "our").

These Terms apply to the products and services listed below, and to the websites, mobile applications, hardware, software, and related products or services that go with them (together, the "Product or Service").

The license to use the Product or Service, and the disclaimer, assumption of risk, and waiver, are part of these Terms. These Terms are the agreement. Our Privacy Policy, Refund Policy, and Shipping Policy are separate documents. These Terms incorporate them by reference where they say so. They are not separate contracts you accept on their own.

Products covered

  • Bye Bye Button. A hardware device and mobile app that triggers a simulated phone call, text message, or notification on your phone.
  • Rescue Ring. A hardware device and mobile app. Pressing the device can place a phone call or send a text message, including to a trusted contact you choose. Rescue Ring is not an emergency service.
  • Bye Bye Bailout. A mobile app and cloud product or service, with no hardware device from us. On a timer you set, it places a phone call or sends a text message to your own phone. In this product, "device" means the phone on which you install the app.
  • Other products and services. Any other application, device, website, or other product or service we offer now or later. If we do not give that product its own section below, only the general terms apply to it.

How to read these Terms

The general terms below apply to every product. The Product-specific terms section later in this document is where a product works differently. If a product-specific term conflicts with a general term, the product-specific term controls for that product. If your product is not mentioned in a product-specific section, the general term applies.

By purchasing, downloading, installing, accessing, or using the Product or Service, you agree to these Terms, including the license and the disclaimer and waiver in them. If you use the Product or Service for an organization, you represent that you have authority to bind that organization. You represent that you are at least 13 years old. If you are under the age of majority where you live, use the Product or Service only with a parent or guardian's permission.

You may use the Product or Service only in compliance with these Terms and applicable law.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE PRODUCT OR SERVICE.

FEES AND REASONABLE USE

What you pay depends on the product. See Product-specific terms. We do not charge you for a product feature unless the price is disclosed before you purchase or use that paid feature. The price is the price listed in the app or at checkout. That listed price controls.

We may introduce fees, usage limits, premium features, or other paid products or services later. If we start charging for a feature that was included before, we will give you reasonable advance notice through the app, email, website, or another appropriate method before that charge applies. Where the law or the app store requires your consent, the new charge applies only after you agree.

Every product is intended primarily for personal, non-commercial use and is subject to reasonable use.

"Reasonable use" means normal use for the Product or Service's intended purpose. It does not include excessive, continuous, repetitive, automated, abusive, fraudulent, or otherwise abnormal triggering of calls, texts, notifications, or other Product or Service functions.

Examples of unreasonable use include repeatedly or continuously triggering the Product or Service for extended periods of time far beyond normal personal use, automating triggers, intentionally generating excessive telecommunications traffic, or using the Product or Service in a way that places an unreasonable burden on our systems or on a phone, messaging, or cloud provider.

We may decide, in our reasonable discretion, whether use is excessive, abusive, or inconsistent with normal use. If it is, we may limit, suspend, restrict, or terminate access to some or all features. Frequent ordinary personal use, by itself, is not unreasonable use.

CHANGES TO THE PRODUCT OR SERVICE OR THESE TERMS

We may modify, improve, discontinue, replace, or change portions of the Product or Service. We may also modify these Terms.

If we make material changes, we may notify you through the app, email, website, or another appropriate method. Continued use after revised Terms take effect is acceptance of the revised Terms. If you do not agree, stop using the Product or Service.

ACCESS TO THE PRODUCT OR SERVICE

You are responsible for keeping your account credentials confidential. Do not knowingly let an unauthorized person use your account. You are responsible for activity on your account except where the law says otherwise.

If you believe your account or device has been compromised, notify us promptly. We are not responsible for losses caused by your failure to reasonably protect your account or device.

If an employer or another third party provides or administers your account, that party may manage, suspend, terminate, or access information associated with the account, subject to applicable law and our Privacy Policy.

ACCEPTABLE USE

You agree not to use the Product or Service:

  • For fraud, impersonation, harassment, stalking, threats, or other unlawful activity.
  • To interfere with, disrupt, damage, overload, or impair the Product or Service or a telecommunications system.
  • To attempt unauthorized access to the Product or Service, another account, a system, a network, or data.
  • To reverse engineer, decompile, disassemble, circumvent, disable, modify, or interfere with an app, a hardware device, or security or usage controls, except where the law expressly allows it.
  • To reproduce, distribute, resell, or commercially exploit an app, software, firmware, or device without our prior written consent.
  • To intentionally generate excessive calls, texts, notifications, requests, or other traffic.
  • In any way that violates law or infringes someone else's rights.

We may restrict or end use of the Product or Service for a violation of this section.

LICENSE

We grant you a limited, non-exclusive, non-transferable, revocable license to use the applicable app, and any hardware we supply with it, for your personal, non-commercial use, in line with these Terms.

The license is only for the product you obtain from us or from an authorized store. What is included at no extra charge, and what requires a purchase, is stated in Product-specific terms. The price, if any, is the price shown in the app or at checkout before you pay.

This license does not give you ownership of an app, software, or firmware. If you purchased hardware from us, you own that physical unit. Bye Bye Bailout includes no hardware from us. In that product, "device" means the phone on which you install the app.

We may end this license if you violate these Terms. When it ends, you must stop using the applicable app. Where we end it for misuse of hardware, you must stop using that hardware with the Product or Service. Sections that by their nature should survive will survive.

CONSENT TO ELECTRONIC COMMUNICATIONS

By registering or using the Product or Service, you agree to receive electronic communications about your account and the Product or Service. These may include account notices, product or service notices, product or service alerts, legal notices, and security notices.

Where the law allows, we may also send promotional communications. You may opt out of promotional messages by using the unsubscribe instructions in those messages. Transactional, legal, security, and product or service messages may not have an opt-out, because the Product or Service needs them to operate.

PAYMENTS

You represent that you are authorized to use any payment method you submit. Prices, shipping, taxes, and other charges are disclosed at purchase, in the app, or at checkout. Shipping of hardware bought from our online store is described in our Shipping Policy, which these Terms incorporate by reference.

Hardware bought on our website is paid through our store or its payment processor. Purchases inside an app are paid through Apple (App Store), Google (Google Play), or another store shown at checkout. We do not see your full payment-card number for those store purchases. You agree to the terms of the store, payment processor, or other provider shown at checkout.

We will not charge a recurring subscription unless you affirmatively agree to that subscription and we have shown you the price and renewal terms first.

RETURNS AND REFUNDS

Our Refund Policy describes returns and refunds, including the return address and the steps. These Terms incorporate the Refund Policy by reference. Where this section or a product-specific term differs from the Refund Policy, these Terms control.

Hardware returns for Bye Bye Button and Rescue Ring are described under those products below. App-store subscriptions and in-app purchases are described under the product you bought, and are refunded by that store under the store's policy. We cannot issue those store refunds ourselves.

If your product has no specific return rule in these Terms, refunds are available only where the law requires them or where the seller's own policy provides them.

THIRD-PARTY SERVICES AND CARRIER CHARGES

Features may depend on third parties, including phone operating systems, wireless connections, cellular networks, internet providers, cloud services, notification services, and voice or text providers. We do not control those services and do not guarantee their availability, performance, compatibility, or continued operation.

Your carrier or other provider may charge you for messages, data, cellular service, or roaming. You are responsible for those charges.

PRIVACY

Our Privacy Policy describes how we collect and process information, including account and contact details needed to operate the product you use. These Terms incorporate the Privacy Policy by reference. By using the Product or Service, you consent to that collection and processing as the Privacy Policy describes. The Privacy Policy remains its own document.

DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PRODUCT OR SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, RELIABILITY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

WE DO NOT GUARANTEE THAT THE PRODUCT OR SERVICE WILL FUNCTION AT ALL TIMES, THAT IT WILL MEET YOUR REQUIREMENTS, THAT IT WILL WORK IN EVERY ENVIRONMENT, OR THAT A CALL, TEXT, NOTIFICATION, OR OTHER COMMUNICATION WILL BE CREATED, DELIVERED, OR ANSWERED.

SOFTWARE, FIRMWARE, AND HARDWARE MAY CONTAIN UNKNOWN OR UNINTENTIONAL BUGS, DEFECTS, OR FAILURES. THOSE BUGS, DEFECTS, OR FAILURES MAY CAUSE THE PRODUCT OR SERVICE TO FAIL AT ANY TIME.

THE PRODUCT OR SERVICE MAY ALSO BE AFFECTED BY WIRELESS CONNECTIVITY, PHONE SETTINGS, OPERATING-SYSTEM LIMITS, INTERNET CONNECTIVITY, MOBILE NETWORKS, CLOUD AVAILABILITY, THIRD-PARTY VOICE OR TEXT PROVIDERS, OR OTHER CONDITIONS OUTSIDE OUR CONTROL.

ASSUMPTION OF RISK

By using the Product or Service, you assume the risks of that use, including:

  • A call, text, or notification that fails, is delayed, goes to the wrong person, or is ignored.
  • Harm that results from relying on the Product or Service, including misuse such as harassment, fraud, or illegal activity.
  • Legal or regulatory consequences of simulated calls, automated messages, or contacting another person, which vary by place.
  • Malfunctions caused by your phone, your settings, a network, a cloud service, or a provider we do not control.

We are not responsible for actions you take, or that someone else takes, because of a call, text, or notification from the Product or Service. Additional risks for a particular product are stated in Product-specific terms.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EJECTION SEAT LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, SUPPLIERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE PRODUCT OR SERVICE. THIS INCLUDES DAMAGES FROM:

  • Failure or delay of a call, text, or notification.
  • Technical failure of a phone, network, cloud product or service, or third-party provider.
  • Legal consequences of misuse or of not complying with the law.
  • Loss of profits, revenue, business, business opportunity, goodwill, data, reputation, or other intangible losses.
  • Damage to a phone or other property.

THIS APPLIES EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY.

TO THE EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE PRODUCT OR SERVICE, OR THESE TERMS, WILL NOT EXCEED THE AMOUNT YOU PAID TO EJECTION SEAT LLC FOR THE PRODUCT GIVING RISE TO THE CLAIM.

If you are dissatisfied, your remedy is to stop using the Product or Service. Some jurisdictions do not allow certain limitations. Portions of this section may not apply to you.

NO EMERGENCY, SAFETY, OR SECURITY RELIANCE

None of our products is a substitute for police, fire, medical, or other emergency services. Do not rely on Bye Bye Button, Rescue Ring, Bye Bye Bailout, or any other Ejection Seat product to contact or replace 911 or another emergency service.

A call, message, or notification may fail, may be delayed, or may not cause another person to react as you expect. You are solely responsible for how you respond to an unsafe, dangerous, or emergency situation. When it is appropriate, contact 911 or your local emergency services directly.

INDEMNIFICATION

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Ejection Seat LLC and its affiliates, officers, directors, employees, agents, contractors, licensors, suppliers, and service providers from claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of:

  • Your misuse of the Product or Service.
  • Your violation of these Terms.
  • Your violation of applicable law.
  • Your infringement of another person's rights.
  • Your use of the Product or Service for fraudulent, harassing, deceptive, threatening, or unlawful activity.

RELEASE OF CLAIMS

To the fullest extent permitted by law, you release and waive all claims, demands, and damages, whether direct, actual, or consequential, of every kind and nature, known or unknown, against Ejection Seat LLC and its affiliates, officers, directors, employees, agents, contractors, suppliers, and service providers, arising out of your use of the Product or Service.

That release includes claims or damages arising solely from a dispute between you and another person or third party that results from your use of the Product or Service.

If you are a California resident, you waive California Civil Code Section 1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

Nothing in this section limits liability that cannot legally be limited or waived.

INTELLECTUAL PROPERTY

The product names, trademarks, logos, software, firmware, designs, content, technology, and documentation are owned by or licensed to Ejection Seat LLC and are protected by applicable copyright and trademark laws. Except for the limited license in these Terms, no intellectual-property rights are transferred to you. You do not receive ownership of an app, software, or firmware. If you purchased hardware from us, you own that physical unit.

You may not copy, sell, license, or commercially exploit that intellectual property, or create derivative works from it, except as we or the law expressly allow.

REGULATORY COMPLIANCE

You are responsible for using each product in compliance with applicable local, state, federal, and international law, including telecommunications laws that apply to calls and messages. Laws on simulated or automated calls, texts, recordings, impersonation, harassment, telecommunications, and privacy differ by place. We are not responsible for legal consequences of a use that violates those laws. Hardware radio rules that apply only to a device are stated in the product-specific section for that device.

You must not use the Product or Service in a way that harasses, threatens, or unlawfully deceives another person.

TERMINATION OR SUSPENSION

We may suspend, limit, or terminate access if we reasonably determine that you violated these Terms, your use creates a security, legal, regulatory, technical, or operational risk, you are engaging in excessive or abusive use, your use could harm us, another user, or a provider, or the law requires it.

When access ends, the license ends with it. Provisions that by their nature should survive will survive, including intellectual property, the license limits, warranty disclaimers, assumption of risk, limitations of liability, indemnification, release of claims, dispute resolution, and governing law.

GOVERNING LAW

These Terms are governed by the laws of the State of Montana, without regard to conflict-of-law principles, except where federal law controls.

DISPUTE RESOLUTION AND ARBITRATION

Except for claims that qualify for small-claims court, or claims for injunctive relief relating to intellectual property or unauthorized use of the Product or Service, disputes arising out of these Terms or the Product or Service will be resolved by binding arbitration, to the extent the law allows.

Arbitration will be administered by the American Arbitration Association under the rules that apply to the dispute. Unless the law requires otherwise, arbitration will take place in Bozeman, Montana. Each party waives the right to have a covered dispute decided by a judge or jury, and waives any right to proceed as part of a class action, to the extent the law allows.

Nothing in this section prevents either party from seeking relief in a court of competent jurisdiction where arbitration is prohibited or unenforceable.

SEVERABILITY

If a provision of these Terms is invalid or unenforceable, it will be enforced to the maximum extent the law allows, or modified to reflect the parties' intent as closely as the law permits. The remaining provisions stay in effect.

NO WAIVER

Our failure to enforce a provision is not a waiver of that provision or any other provision.

ENTIRE AGREEMENT

These Terms are the entire agreement between you and Ejection Seat LLC about the Product or Service. They include the license and the disclaimer, assumption of risk, and waiver. Our Privacy Policy, Refund Policy, and Shipping Policy are incorporated by reference. Together they supersede prior agreements and representations on that subject. These Terms do not create third-party beneficiary rights unless they expressly say so.

PRODUCT-SPECIFIC TERMS

Read this section for the product you use. It controls over the general terms where they differ. Products not listed here are covered only by the general terms.

Bye Bye Button

The Bye Bye Button is a hardware device plus a mobile app and related cloud features. It is meant to trigger a simulated phone call, text, or notification on your own phone. It is for personal convenience. It is not a safety device.

The license covers the Bye Bye Button app and the Bye Bye Button hardware device. Current Bye Bye Button features are included with the device. We do not charge a recurring subscription for those included features. Use remains subject to the reasonable-use rules above. If we offer an optional paid alert pack or another optional feature, the price is shown in the app or at checkout before you pay.

The device connects to your phone over a short-range wireless link. Your phone may require nearby-devices or location permission, including in the background, so that connection can work. That permission is covered in the Privacy Policy. Operation can fail when that wireless link fails, when the phone blocks background activity, or when a cloud or voice or text provider is unavailable.

We accept a return of a Bye Bye Button device within 30 days after purchase when the device is defective, damaged in delivery, or not the item you ordered. Proof of purchase is required. We may require you to return the device before we refund it or replace it. Return postage is paid by you, unless the return is because we shipped the wrong item or the item arrived damaged. Unless the law requires otherwise, we do not accept a return for a change of mind or for a device that is not defective, damaged, or wrong. A discounted price does not remove that remedy. Products bought from another retailer follow that seller's return policy. Our Refund Policy gives the return address and the steps. Shipping of a device bought from our online store is described in our Shipping Policy.

The Bye Bye Button hardware is designed to meet applicable Federal Communications Commission requirements for its wireless radio.

Rescue Ring

Rescue Ring is a hardware device plus a mobile app. Pressing the device can place a phone call or send a text message, including to a trusted contact you choose. It can also be used in a test mode that sends the message back to you.

The license covers the Rescue Ring app and the Rescue Ring hardware device. Current Rescue Ring features are included with the device. We do not charge a recurring subscription for those included features. Use remains subject to the reasonable-use rules above. If we offer an optional paid alert pack or another optional feature, the price is shown in the app or at checkout before you pay.

The device connects to your phone over a short-range wireless link. Your phone may require nearby-devices or location permission, including all of the time and in the background, so the button can work while the app is not on screen. That permission is covered in the Privacy Policy. Operation can fail when that link fails, when permission is denied, when the phone blocks background activity, or when a cloud, carrier, or voice or text provider is unavailable.

The 30-day hardware return rule, the wireless-radio statement, and the rule for purchases from other retailers are the same for Rescue Ring as for Bye Bye Button. Our Refund Policy gives the return address and the steps. Shipping of a device bought from our online store is described in our Shipping Policy.

Rescue Ring is still not an emergency service. A call or text to a trusted contact may fail or be delayed. You also assume the risk that the trusted contact does not answer. Do not use Rescue Ring to contact or replace 911, and do not count on it to summon police, fire, or medical help.

Bye Bye Bailout

Bye Bye Bailout is a mobile application and cloud product or service. We do not sell a Bye Bye Bailout hardware device. The license covers the Bye Bye Bailout app only. In this product, "device" means the phone on which you install the app.

Scheduling calls and text messages through our cloud product or service requires a paid Bye Bye Bailout plan purchased in the app:

  • A Monthly subscription. It renews every month until you cancel it.
  • A Yearly subscription. It renews every year until you cancel it.
  • Lifetime of the Product or Service. It is a one-time purchase.

The price of each plan is the price listed in the app at the time you confirm the purchase. That listed price controls. Prices are shown in your local currency and may vary by region. Taxes may apply. Apple or Google processes the payment through your store account. We never see your full payment-card number.

Monthly and Yearly plans are auto-renewing. Payment is charged to your store account when you confirm the purchase. The plan renews at the then-current price for the same period unless you cancel at least 24 hours before the end of the current period. Your account may be charged for renewal within 24 hours before the period ends. You can manage or cancel in your App Store or Google Play account settings. Cancellation takes effect at the end of the current period. Deleting the app does not cancel a subscription. We do not give partial refunds for time left in a period.

Where the store offers a free trial or introductory price, its length and terms are shown before you confirm. Unless you cancel before the trial ends, it converts to a paid subscription at the price shown. Any unused portion of a free trial is forfeited when you purchase a subscription.

Lifetime of the Product or Service is a one-time, non-renewing purchase. It provides access for as long as we continue to operate Bye Bye Bailout. It is not a subscription. It is refundable only as required by law or by the store's own refund policy.

Refunds of Bye Bye Bailout purchases are handled by Apple or Google, as our Refund Policy also states. We cannot issue those refunds directly. There is no hardware return for this product, and our Shipping Policy does not apply to it, because we do not ship hardware for Bye Bye Bailout. We may change fees or add paid features with prior notice in the app or by email. A price change for an existing subscription takes effect only after you have been notified and, where required, have agreed through the store.

Delivery depends on your phone, your carrier, and our cloud and voice or text providers. It does not depend on a hardware button or a short-range wireless link. You assume the additional risk that a scheduled call or text does not happen because the timer was changed, the phone was off or in a mode that blocks the call, the carrier failed, or our cloud or voice or text provider was unavailable. A call to your own phone is not a safety plan.

Other products and services

If you use an Ejection Seat application, device, website, or other product or service that is not named above, the general terms apply in full, including the license, the disclaimer of warranties, the assumption of risk, the limitation of liability, and the warning not to rely on the Product or Service to contact or replace 911. We may add a product-specific section later. Until we do, no unstated exception applies to that product.

By purchasing, activating, downloading, installing, or using the Product or Service, you acknowledge that you have read, understood, and agreed to these Terms, including the license and the disclaimer and waiver they contain.
